Welcome to Athenascope! The following document outlines the terms of use of the Athenascope services. Before using any of the Athenascope services, you are required to read, understand, and agree to these terms.

Description of Service

Athenascope, Inc. (“Athenascope”, “we”, “us” or “our”) provides a platform via its website and apps (the ‘Site’) to a community of registered users (“users” or “you”) to engage in a variety of activities, including to upload, generate, and display video highlights (“Video Content”), share comments, opinions and ideas, and promote Video Content collections (individually and collectively, the “Services”). The foregoing list of Services is not all-inclusive and additional Services may be offered by us from time to time. The following are the terms of use (“Terms”) for using the Site and the Services.

Acceptance of Terms

BY USING THE SERVICE, YOU ARE AGREEING:

  • (i) THAT YOU ARE 13 YEARS OF AGE OR OLDER, (ii) IF YOU ARE THE AGE OF MAJORITY IN YOUR JURISDICTION OR OVER, THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPT TO BE BOUND BY THE TERMS, and (iii) IF YOU ARE BETWEEN 13 AND THE AGE OF MAJORITY IN YOUR JURISDICTION, THAT YOUR LEGAL GUARDIAN HAS REVIEWED AND AGREES TO THESE TERMS.
  • ON BEHALF OF YOURSELF AND THOSE YOU REPRESENT, TO COMPLY WITH AND BE LEGALLY BOUND BY THESE TERMS AS WELL AS OUR PRIVACY POLICY AND ALL APPLICABLE LAWS.

IF YOU, FOR YOURSELF OR ON BEHALF OF THOSE YOU REPRESENT, DO NOT AGREE TO ANY PROVISION OF THESE TERMS, YOU MUST, FOR YOURSELF AND ON BEHALF ANY SUCH PERSON(S), DISCONTINUE THE REGISTRATION PROCESS, DISCONTINUE YOUR USE OF THE SERVICES, AND, IF YOU ARE ALREADY REGISTERED, CANCEL YOUR ACCOUNT.

Modification of Terms

Athenascope reserves the right, at its sole discretion, to modify or replace the Terms at any time. We may do this for reasons that include, but are not limited to, complying with changes to the law or reflecting enhancements to Athenascope. If the alterations constitute a material change to the Terms, Athenascope will notify you by email, on the website, or through an app. What constitutes a material change will be determined at Athenascope’s sole discretion. You are responsible for reviewing and becoming familiar with any such modifications. Using any Service or viewing any Video Content constitutes your acceptance of the Terms as modified. If you object to the changes, your recourse shall be to cease using the Service.

In addition, when using particular features of the Services, you are subject to any posted guidelines, terms or rules applicable to such Services.

Rights to Use the Service

Your access to and use of the Site and our Services may be interrupted from time to time as a result of equipment malfunction, updating, maintenance or repair of the Site, or any other reason within or outside of our control. Athenascope reserves the right to suspend or discontinue the availability of the Site, any Service, and to remove any Video Content at any time at its sole discretion and without prior notice. Athenascope may also impose limits on certain features and Services or restrict your access to parts of or all of the Site and the Services without notice or liability. The Site should not be used or relied upon for storage of your Video Content and you are directed to retain your own copies of all Video Content posted on the Site.

You agree not to (and not to attempt to) (i) use the Service for any use or purpose other than as expressly permitted by these Terms;(ii) copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, attempt to discover any source code, reverse engineer, decompile, dissassemble, or otherwise exploit the Service or any portion of the Service, except as expressly permitted in these Terms; or (iii) use data mining, robots, spiders, or similar data gathering and extraction tools on the Service. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by the Company or its licensors, except for the permissions and rights expressly granted in these Terms.

The Company reserves the right to refuse any user access to the Services without notice for any reason, including but not limited to a violation of the Terms. If you violate these Terms, the Company reserves the right to issue you a warning regarding the violation or immediately terminate or suspend any or all Accounts you have created using the Service. You agree that the Company need not provide you notice before terminating or suspending your Account(s), but it may do so.

Your Account

If you do not already have an Account, you will be prompted to create one by providing a username, password, and valid email address or other information to access or utilize certain applications or features. You represent and warrant that the information you provide to us upon registration and at all other times will be true, accurate, current, and complete.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene. We reserve the right to reject any username or to terminate your username or prevent use of a username in our sole discretion, and without any liability to you. You understand and agree that other users of the Service may have the same username as you, however, users will be differentiated by a number identifier that may or may not be visible to you or other users. You will ensure that your e-mail address is kept accurate and up-to-date at all times.

You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur through the use of your credentials or otherwise on your Account. You agree to notify us immediately if you believe the confidentiality of your login credentials has been compromised or if you suspect unauthorized use of your Account. You agree that we will not be liable for any loss or damage arising from unauthorized use of your credentials.

Services are available to authorized representatives of legal entities and to individuals who are either at least 13 years old, and who are authorized to access the Site by a parent or legal guardian. If you have authorized a minor to use the Site, you are responsible for the online conduct of such minor, and the consequences of any misuse of the Site by the minor. Parents and legal guardians are warned that the Site may display Video Content containing violence or sexual content that may be offensive to some.

Communications

You agree to receive communications from us electronically, such as email, notifications or messages on the Service. For any direct marketing messages, we will ensure that we obtain your consent first, and also make it easy for you to opt out — we don’t want to send you messages you don’t want.

By using the Service or providing information to us, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues relating to your use of the Service, and that all agreements, notices, disclosures, and other communications that Athenascope provides to you electronically satisfy any legal requirements that such communications be in writing.

User Conduct

All Video Content posted or submitted to the Site, and any comments, or other communications (“Communications”, with Video Content and Communications collectively referred to as “Content”) is the sole responsibility of the account holder from which such Communications originate and you acknowledge and agree that you, and not Athenascope, are entirely responsible for all Content that you post, or otherwise submit to the Site. Athenascope does not control user submitted Content and, as such, does not guarantee the accuracy, integrity, or quality of such Content. You understand that by using the Site you may be exposed to Content that is offensive, indecent, or objectionable.

As a condition of use, you promise not to use the Services for any purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably intended by Athenascope. By way of example, and not as a limitation, you agree not to use the Services:

  1. To abuse, harass, threaten, impersonate or intimidate any person;
  2. To post or transmit, or cause to be posted or transmitted, any Content that is libelous, defamatory, obscene, pornographic, abusive, offensive, profane, or that infringes any copyright or other right of any person;
  3. To communicate with Athenascope representatives or other users in an abusive or offensive manner;
  4. For any purpose (including posting or viewing Content) that is not permitted under the laws of the jurisdiction where you use the Services;
  5. To post or transmit, or cause to be posted or transmitted, any Communication designed or intended to obtain password, account, or private information from any Athenascope user;
  6. To create or transmit unwanted ‘spam’ to any person or any URL;
  7. To create multiple accounts for the purpose of voting for or against users’ Video Content;
  8. With the exception of accessing RSS feeds, you agree not to use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or (iii) bypass any measures we may use to prevent or restrict access to the Site;
  9. To artificially inflate or alter vote counts, comments, or any other Service or for the purpose of giving or receiving money or other compensation in exchange for votes and/or in an attempt to alter the result of any contest or promotion, or for participating in any other organized effort that in any way artificially alters the results of Services;
  10. To advertise to, or solicit, any user to buy or sell any third party products or services, or to use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any user without their prior explicit consent;
  11. To promote or sell Video Content of another person unless you are expressly authorized to do so; or
  12. To sell, assign or otherwise transfer your profile.

To report a suspected abuse of the Site or a breach of the Terms (other than relating to copyright infringement which is addressed under “COPYRIGHT COMPLAINTS” below) please send written notice to Athenascope at email: copyright@Athenascope.com

You are solely responsible for your interactions with other users of the Site. Athenascope reserves the right, but has no obligation, to review disputes between you and other users.

If the Services or Site are used in a manner that violates the Terms in any way, Athenascope may at its sole discretion, but is not required to, suspend or terminate your account, disable your access to the Site and/or take any steps that it deems appropriate to address the situation.

Video Content Submitted

Please read this section carefully before uploading, streaming, posting or otherwise submitting any Video Content to the Site. By submitting Video Content to the Site, you are granting Athenascope a worldwide, non-exclusive license to use the Video Content and license Video Content through its distributors, and are representing and warranting to Athenascope that the Video Content is either owned by you or you are authorized to represent or distribute the Video Content, and that Athenascope is free to publish, distribute and use the Video Content as provided in these Terms without obtaining permission, consent or any license from any third party.

In consideration of Athenascope’s agreement to allow you to use the Services, you acknowledge that:

  • Any Video Content uploaded to your account must be recorded or streamed by you;
  • By posting Video Content to the Site, you grant to Athenascope a non-exclusive or exclusive, transferable, fully paid, worldwide license to use, sublicense, distribute, reproduce, modify, adapt, publicly perform and publicly display such Video Content;
  • The license granted to Athenascope includes the right to use Video Content fully or partially for promotional reasons and to distribute and redistribute Video Content to other parties, websites, authorized agents, applications, and other entities, provided such Video Content is attributed in accordance with the required credits (i.e. username, video title, descriptions, tags, and other accompanying information) if any and as appropriate, as submitted to Athenascope, subject to any credit requirements governing the licensing of Video Content pursuant to the Contributor Agreement (notwithstanding the foregoing, no inadvertent failure to provide appropriate attribution shall be considered a breach of these Terms);
  • Athenascope and its distributors have the right to modify, alter and amend video titles, descriptions, tags, metadata and other accompanying information for any Video Content and the right to submit Video Content to other parties and authorized agents for the purpose of creating tags for Video Content;
  • Athenascope makes no representation and warranty that Video Content posted on the Site will not be unlawfully copied without your consent.
  • Subject to the foregoing terms, ownership or other rights in the Video Content including any intellectual property rights or other proprietary rights associated with the Video Content are retained by you or the Video Content owner represented by you, unless reflected otherwise in a separate agreement with Athenascope.

You represent and warrant that:

  • You are the owner or the authorized representative of the owner of all rights, including all copyrights in and to all Video Content you submit to the Site;
  • You have the full and complete authority and right to enter into this agreement and to grant to Athenascope the rights in the Video Content herein granted, and that no further permissions are required from, nor payments required to be made to any other person in connection with the use by Athenascope of the Video Content as contemplated herein;
  • You are not violating or breaching any agreement with any other party by submitting Video Content to Athenascope; and
  • The Video Content does not defame any person and does not infringe upon the copyright, moral rights, publicity rights, privacy rights or any other right of any person, or violate any law or judicial or governmental order.

You do not have any right to terminate the permissions granted herein, nor to seek, obtain, or enforce any injunctive or other equitable relief against Athenascope, all of which such rights are hereby expressly and irrevocably waived by you in favor of Athenascope.

Copyright Complaints

Athenascope respects the intellectual property rights of others. It is our policy to respond promptly to any claim that Content posted on the Site infringes the copyright or other intellectual property rights (“Infringement”) of any person. Athenascope will use reasonable efforts to investigate notices of alleged Infringement and will take appropriate action under applicable intellectual property laws and these Terms where it believes an Infringement has taken place, including removing or disabling access to the Content claimed to be infringing and/or terminating accounts and access to the Site.

To notify Athenascope of a possible Infringement you must submit your notice in writing to the attention of “Copyright Infringement” care of copyright@Athenascope.com and include in your notice a detailed description of the alleged Infringement sufficient to enable Athenascope to make a reasonable determination. Please note that you may be held accountable for damages (including costs and attorneys’ fees) for misrepresenting that any Content is infringing your copyright.

If we remove or disable access to Content in response to a notice of Infringement, we will make reasonable attempts to contact the user who posted the affected Content. If you feel that your Content is not infringing, you may provide Athenascope with a counter notice in writing to the attention of “Copyright Infringement Counter Notification” at copyright@Athenascope.com. You must include in your counter notice sufficient information to enable Athenascope to make a reasonable determination. Please note that you may be held accountable for damages (including costs and attorneys' fees) if you materially misrepresent that your Content is not infringing the copyrights of others.

If you have any questions about copyright infringement or the notification and counter-notification process under the Digital Millennium Copyright Act (the “DMCA”), we recommend that you speak with an attorney.

Digital Millennium Copyright Act - Notification of Alleged Copyright Infringement

Athenascope has registered an agent with the United States Copyright Office in accordance with the terms of the DMCA and avails itself of the protections under the DMCA. Athenascope reserves the right to remove any Content that allegedly infringes another person’s copyright. In appropriate circumstances, Athenascope will terminate the accounts of users who infringe copyright. Notices to Athenascope regarding any alleged copyright infringement should be directed to Athenascope via email at: copyright@Athenascope.com

Filing a DMCA Notice to Remove Copyright-Protected Content

If you believe in good faith that your work has been copied in a way that constitutes copyright infringement, please provide us (either directly or through your authorized representative) with a written notice containing the following information:

  • Your name, address, telephone number, and email address (if any);
  • A description of the copyrighted work that you claim has been infringed;
  • A description of where on the Website the material that you claim is infringing may be found, sufficient for Athenascope to locate the material (e.g., the URL);
  • A statement that you have a good faith belief that the use of the copyrighted work is not authorized by the copyright Athenascope, its agent, or the law and is not a fair use;
  • A statement by you UNDER PENALTY OF PERJURY that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf; and
  • Your electronic or physical signature.

If you submit a notice of infringement that knowingly materially misrepresents that any Content, information, or communication on the Services is infringing upon a copyright, you may be held liable for damages and attorneys’ fees.

Filing a DMCA Counter-Notice to Restore Content Removed from the Website

If you believe that your material has been removed by mistake or misidentification, please provide Athenascope with a written counter-notification containing the following information:

  • Your name, address, telephone number, and email address (if any);
  • A description of the material that was removed and the location on the Website (e.g., the URL) where it previously appeared;
  • A statement UNDER PENALTY OF PERJURY that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification;
  • A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, or if your address is outside of the United States, any jurisdiction in which you may be properly served, and that you will accept service of process from the person who filed the original DMCA notice or an agent of that person; and
  • Your electronic or physical signature.

Feedback

We appreciate hearing from our users and welcome your comments regarding the Service. If you choose to provide feedback, comments or suggestions for improvements to the Service or otherwise (in written or oral form) (“Feedback”), you represent and warrant that (a) you have the right to disclose the Feedback, (b) the Feedback does not violate the rights of any other person or entity, and (c) your Feedback does not contain the confidential or proprietary information of any third party or parties.

By sending us any Feedback, you further (i) agree that we are under no obligation of confidentiality, express or implied, with respect to the Feedback, (ii) acknowledge that we may have something similar to the Feedback already under consideration or in development, (iii) grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, prepare derivative works from, publish, distribute and sublicense the Feedback, and (iv) irrevocably waive, and cause to be waived, against Athenascope and its users any claims and assertions of any moral rights contained in such Feedback. This Feedback section shall survive any termination of your account or the Services.

All rights in this section are granted without the need for additional compensation of any sort to you.

Third-Party Content

We use third-party services to help us provide the Service, but such use does not indicate that we endorse them or are responsible or liable for their actions. In addition, the Service may link to third-party websites to facilitate its provision of services to you. If you use these links, you will leave the Service. Please note that your use of such third-party services will be governed by the terms and privacy policy applicable to the corresponding third party. Some of these third-party websites may use Service Materials under license from us. We are not responsible nor do we endorse these third-party websites or the organizations sponsoring such third-party websites or their products or services, whether or not we are affiliated with such third-party websites. You agree that we are not responsible or liable for any loss or damage of any sort incurred as a result of any such dealings you may have on or through a third-party website or as a result of the presence of any third-party advertising on the Service.

User Disputes

You are solely responsible for your interaction with other users of the Service and other parties that you come in contact with through the Service. The Company hereby disclaims any and all liability to you or any third party relating to your use of the Service. The Company reserves the right, but has no obligation, to manage disputes between you and other users of the Service.

Links

The Services may provide, or third parties may provide, links to other sites or resources. Because Athenascope has no control over such sites and resources, you acknowledge and agree that Athenascope is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Athenascope shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

Trademarks

Athenascope, Athenascope.com, and other Athenascope graphics, logos, designs, page headers, button icons, scripts, and service names are registered trademarks, trademarks or trade dress of Athenascope. Athenascope’s trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Athenascope.

Termination

The Company may terminate your Account and your access to the Service (or, at the Company's sole option, applicable portions of the Service) at any time and for any reason. The Company is not required to provide you with any notice or warning prior to any such termination. You may, as the result of termination, lose your Account and all information and data associated therewith, including without limitation your Video Highlights, as applicable, and the Company is under no obligation to compensate you for any such loss.

Athenascope may terminate or suspend any and all Services and/or your Athenascope account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination of your account, your right to use the Services will immediately cease. If you wish to terminate your Athenascope account, you may simply discontinue using the Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership and rights provisions and warranties, warranty disclaimers, indemnity and limitations of liability.

It is your responsibility to remove all Video Content from your account prior to termination. Upon termination of your account, Athenascope will automatically remove all Video Content posted to your account.

Disclaimer of Warranty

THE SERVICES AND THE SERVICE MATERIALS ARE PROVIDED "AS IS" AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU USE THE SITE AND THE SERVICES AT YOUR OWN RISK.

WHILE THE COMPANY ATTEMPTS TO PROVIDE A GOOD USER EXPERIENCE, WE CANNOT AND DO NOT REPRESENT OR WARRANT THAT THE SERVICES WILL ALWAYS BE SECURE OR ERROR-FREE OR THAT THE SERVICES WILL ALWAYS FUNCTION WITHOUT DELAYS, DISRUPTIONS, OR IMPERFECTIONS: ATHENASCOPE DISCLAIMS ALL RESPONSIBILITY FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM, ARISING OUT OF OR IN ANY WAY RELATED TO (A) ANY ERRORS IN OR OMISSIONS FROM THIS SITE AND THE SERVICES, INCLUDING, BUT NOT LIMITED TO, TECHNICAL INACCURACIES AND TYPOGRAPHICAL ERRORS, (B) THIRD PARTY COMMUNICATIONS, (C) ANY THIRD PARTY WEBSITES OR CONTENT DIRECTLY OR INDIRECTLY ACCESSED THROUGH LINKS IN THE SITE, INCLUDING BUT NOT LIMITED TO ANY ERRORS OR OMISSIONS, (D) THE UNAVAILABILITY OF ALL OR ANY PART OF THE SITE OR THE SERVICES, (E) YOUR USE OF THE SITE OR THE SERVICES, OR (F) YOUR USE OF ANY EQUIPMENT OR SOFTWARE IN CONNECTION WITH THE SITE OR THE SERVICES. Limitation of Liability

EXCEPT AS OTHERWISE PROVIDED BY LAW, NEITHER ATHENASCOPE NOR ANY OF ITS AFFILIATES, PARENTS, SUBSIDIARIES, AUTHORIZED DISTRIBUTORS, DIRECTORS, SHAREHOLDERS, EMPLOYEES OR AGENTS SHALL BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM YOUR USE OF THE SITE, ANY FACTS OR OPINIONS APPEARING THEREON, OR THE SERVICES. ATHENASCOPE SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SITE OR SERVICES. TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS PROHIBITED OR FAILS OF ITS ESSENTIAL PURPOSE, ATHENASCOPE’S SOLE OBLIGATION TO YOU FOR DAMAGES SHALL BE LIMITED TO US$100.00. YOU AND ATHENASCOPE AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE ARISING HEREUNDER WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND THAT YOU WILL NOT SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, A PRIVATE ATTORNEY-GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH YOU ACT OR PROPOSE TO ACT IN A REPRESENTATIVE CAPACITY. YOU FURTHER AGREE THAT NO PROCEEDING WILL BE JOINED, CONSOLIDATED, OR COMBINED WITH ANOTHER PROCEEDING WITHOUT THE PRIOR WRITTEN CONSENT OF ATHENASCOPE AND ALL PARTIES TO ANY SUCH PROCEEDING.

Release and Indemnity

You hereby agree to indemnify and hold harmless Athenascope, its affiliated and associated companies and its authorized distributors, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys' fees, resulting from or arising out of (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right or any third party agreement; or (iv) any Content or information shared through the Service (v) the licensing or use of your Video Content, or (vi) any violation of any rights of a third party. As used in this section, "you" shall include anyone accessing the Service using your password. Athenascope reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

International Use; Export Controls

Software available in connection with the Service and the transmission of applicable data, if any, is subject to United States export controls. No software may be downloaded from the Service or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the software is at your sole risk. Recognizing the global nature of the Internet, you agree to comply with all local rules and laws regarding your use of the Service, including as it concerns online conduct and acceptable content.

General

Governing Law. By visiting or using the Service, you agree that the laws of the United States and the State of California, without regard to principles of conflict of laws and regardless of your location, will govern these Terms and any dispute of any sort that might arise between you and the Company.

Any claim or dispute between you and the Company that arises out of or is related to the Service and is not subject to arbitration shall be decided exclusively by a court of competent jurisdiction located in Santa Clara County, California, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in the state and federal courts of Santa Clara County, California.

Injunctive and Other Equitable Relief. You acknowledge that the rights granted and obligations made to the Company under these Terms are of a unique and irreplaceable nature, the loss of which may result in immediate and irreparable harm to the Company for which remedies at law are inadequate. The Company shall therefore be entitled to seek injunctive or other equitable relief (without the obligation to post any bond or surety) in the event of any breach or anticipatory breach by you. You irrevocably waive all rights to seek injunctive or other equitable relief.

Entire Agreement. These Terms constitute the entire agreement between you and the Company with respect to your use of the Service and any other subject matter hereof and cannot be changed or modified by you except as expressly posted on the Service by the Company. You also may be subject to additional terms and conditions that may apply when you use affiliate or third party services, third party content or third party software.

Waiver. The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision, and no waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.

Course of Conduct/Trade Practice. Neither the course of conduct between the parties nor trade practice will act to modify these Terms.

Assignment. These Terms may not be assigned by you without the Company's prior written consent, but are freely assignable by the Company. Subject to the foregoing restriction, these Terms will be binding on, inure to, and enforceable against the parties and their respective successors and assigns.

Documentation of Compliance. Upon the Company's request, you will furnish the Company with any documentation, substantiation or releases necessary to verify your compliance with these Terms.

Interpretation. You agree that these Terms will not be construed against the Company by virtue of having drafted them.

Defenses Based on Electronic Form of These Terms. You hereby waive any and all defenses you may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms.

Survival. You agree that the provisions of these Terms that by their nature should survive termination will survive any termination of these Terms.

These Terms constitute the entire understanding of the parties and supersede all prior and contemporaneous written and oral agreements with respect to the subject matter hereof. Any rule of construction stating that ambiguities are to be resolved against the drafting party will not be applied in the construction or interpretation of these Terms. If one or more of the provisions herein is held invalid, illegal or unenforceable in any respect, the validity, legality and enforcement of the remaining provisions shall not be affected or impaired. Any inconsistency between these Terms in English and these Terms in any other language shall, to the fullest extent permitted by applicable law, be resolved by reference to the English version. The failure to enforce or the waiver by either party of a default or breach of the other party shall not be considered to be a waiver of any prior, subsequent or other default or breach.
